Mexico's Legal Framework for Off-Plan Buyers

Mexico has a legal framework for real estate transactions that, properly applied, provides reasonable buyer protection. The problem is that many Riviera Maya presale contracts are drafted by developers' legal teams to protect their interests, not yours. An independent attorney is your first line of defense.

1. Guarantee Trust for Your Payments

The most important protection: your payments during construction should go to a guarantee trust (fideicomiso de garantía) administered by a top-tier bank (BBVA, Banamex, HSBC). The bank releases funds to the developer based on verified construction progress. If the project is cancelled or the developer goes bankrupt, trust funds can be returned to buyers.

2. Delay Penalties

The contract must clearly establish:

  • Estimated delivery date (month and year)
  • Maximum grace period (typically 90–180 days)
  • Daily or monthly penalty beyond the grace period (typically 0.1% of contract value/day)
  • Rescission option with full refund if delay exceeds a defined threshold (e.g., 12 months)

3. Rescission Clause in Favor of the Buyer

The contract must include clear rescission grounds allowing the buyer to recover their investment. Most important:

  • Delivery failure beyond grace period
  • Substantial specification changes without buyer consent
  • Loss of construction permits
  • Developer bankruptcy or insolvency

In case of rescission due to developer fault, 100% of paid funds plus interest must be returned.

4. Detailed Technical Specifications

The contract or technical annex must specify exact unit area, construction materials by area, equipment brands and models, amenities included and common area finishes. Without this detail level, developers can deliver a downgraded version of the promised project without technically breaching the contract.

5. PROFECO Protection

Mexico's Federal Consumer Protection Agency (PROFECO) can intervene in real estate purchase contracts when one party is a consumer. PROFECO offers a free conciliation mechanism in disputes — useful for foreign buyers who would otherwise need to litigate in local courts.

6. Post-Delivery Hidden Defects Warranty

The Federal Civil Code establishes a hidden defects warranty of at least 1 year for new real estate. Verify the contract includes this explicitly with a clear reporting and repair process.
